I acknowledge that I have read and understood the SANQC’s Confidentiality Agreement and further accepts the duties and obligations set forth therein and I agree to abide by them.
CONFIDENTIALITY AGREEMENT
Entered into between:
South African National Quran Council and/or the
South African National Quran Committee (Hereinafter referred to as the “Discloser”) and
South African National Quran Committee and/or the South African National Quran Council’s Members, Employees, Directors, Volunteers, other Staff and any other person directly or indirectly engaged and or employed by them.
PREAMBLE
It is specifically recorded that the organisation relies on the services of individuals to voluntarily and without any payment, whether in kind or not, to render services, provide skills transfer, direction and or input to the organisation to ensure that the vision, aims and mandate of the organization is achieved by following and abiding with the Islamic laws, Sunnah and the prevailing legislation of the republic of South Africa.
No employee and or employer relationship is created and or implied by means of this agreement or any voluntary services rendered and or to be rendered by the recipient. It is understood and agreed to that the Discloser and the Recipient would like to exchange certain information that may be considered confidential.
To ensure the protection of such information, the parties agree as follows:
1. The confidential information to be disclosed by Discloser under this Agreement (“Confidential Information”) can be described as and includes but is not limited to:
Branding, design, logos, marks, patents, trademarks, copyrights, publications, strategies, manuals, processes, information, sponsor names, participant details and personal information, agreements, contracts, judges’ results, scoring sheets, judges’ decisions, regardless of whether such information is designated as “Confidential Information” at the time of its disclosure.
In addition to the above, Confidential Information shall also include, and the Recipient shall have a duty to protect, other confidential and/or sensitive information which is: –
(a) Disclosed by Discloser in writing and marked as confidential (or with other similar designation) at the time of disclosure; and/or
(b) Disclosed by Discloser in any other manner and identified as confidential at the time of disclosure and is also summarized and designated as confidential in a written memorandum delivered to the Recipient within thirty (30) days of the disclosure.
2. Recipient shall use the Confidential Information only for the purpose specifically expressed by the Discloser in writing to the Recipient.
3. This Agreement imposes no obligation upon Recipient with respect to any Confidential Information: –
(a) that was in the Recipient’s possession before receipt from Discloser, including all information received from inception of the competitions in the year 2001;
(b) is or becomes a matter of public knowledge through no fault of Recipient;
(c) is rightfully received by Recipient from a third party not owing a duty of confidentiality to the Discloser;
(d) is disclosed without a duty of confidentiality to a third party by, or with the authorization of the Discloser; or
(e) is independently developed by Recipient, save for that which was developed for any purpose of the Discloser and/or on the Discloser’s time, expense and brand.
4. Discloser warrants that he/she has the right to make the disclosures under this Agreement.
5. The Recipient warrants and undertakes, while representing the Discloser, whether personally and or representative, on duty or not, not to:
5.1 Engage in any unapproved activities and/or speeches that are unacceptable to the Discloser or the organization’s rules, regulations, practice, vision, goals and/or mandate;
5.2 Represent the interest of any organization, company or other entity and person/s acting in the capacity as a SANQC representative; and
5.3 Campaign, promote in any means whatsoever, debate or engage in any political, social and/or theological matters except that which is related to the functions of the Discloser.
5.4 Disclose any of the confidential information of the organization to any other party, institution, committee, person (whether natural and or juristic) having same, similar and or aligned purpose/s as the organization that they currently serve.
5.5 Engage in any illegal and unethical activities including and not limited to the bribery of traffic enforcement officials for speeding and/or violating road traffic laws.
6. This Agreement shall not be construed as creating, conveying, transferring, granting or conferring upon the Recipient any rights, license or authority in or to the information exchanged, except the limited right to use Confidential Information specified in paragraph 2. Furthermore, and specifically, no license or conveyance of any intellectual property rights is granted or implied by this Agreement.
7. Both parties acknowledge and agree that the exchange of information under this Agreement shall not commit or bind either party to any present or future contractual relationship (except as specifically stated herein), nor shall the exchange of information be construed as an inducement to act or not to act in any given manner.
8. If there is a breach or threatened breach of any provision of this Agreement, it is agreed and understood that the Discloser shall have an adequate remedy, either in money or other damages against the Recipient.
9. This agreement constitutes the whole agreement between the parties and supersedes all prior verbal or written agreements or understandings or representations by or between the parties regarding the subject matter of this agreement, and the parties will not be entitled to rely, in any dispute regarding this agreement, on any terms, conditions or representations not
expressly contained in this agreement. Any variation to this agreement can only be effective if agreed to and signed by both parties.
10. The terms of this agreement relating to specific obligations and undertakings shall survive any cancellation of any term, termination and or resignation of any recipient from the organization under any circumstances. The legal impact and effect have been explained and understood by the recipient and undertakes to be bound hereto.
11. If any of the provisions of this Agreement are found to be unenforceable, the remainder shall be enforced as fully as possible and the unenforceable provision(s) shall be severed.
12. The terms of this agreement have been negotiated and the contra proferentum clause shall therefore not apply to the detriment of the party that drafted or caused this agreement to be drafted.
CODE OF CONDUCT FOR MEMBERS AND VOLUNTEERS OF THE SOUTH AFRICAN NATIONAL QURAN COUNCIL
1. PERSONAL AND PROFESSIONAL INTERGRITY
All staff, members and volunteers of the South African National Quran Council act with honesty, integrity and openness in all their dealings as representatives of the South African National Quran Council. The South African National Quran Council promotes a working environment that values respect, fairness and integrity.
2. MISSION
The South African National Quran Council has a clearly stated mission and purpose i.e., to serve the Noble Quran which is approved and endorsed by the members, in pursuit of the public good. All of its programs support that mission and all who work for or on behalf of the South African National Quran Council understand and are loyal to that mission and purpose.
3. CODE
Members of the South African National Quran Council are committed to observing and promoting the highest standards of ethical conduct in the performance of their responsibilities on the board of South African National Quran Council. Members shall:
3.1 Accountability
3.1.1 Fully abide by the by-laws and policies of the South African National Quran Council.
3.1.2 Exercise reasonable care, good faith and due diligence in organizational affairs.
3.1.3 Fully disclose, at the earliest opportunity, information that may result in a perceived or actual conflict of interest.
3.1.4 Fully disclose information that would have significance in decision- making.
3.1.5 Remain accountable for prudent management to members, the board, and non-profit sector, and where applicable, to government and funding bodies.
3.2 Personal Gain
3.2.1 Exercise the powers invested for the good of all members of the South African National Quran Council rather than for his or her personal benefit.
3.3 Equal Opportunity
3.3.1 Ensure the right of all members to appropriate and effective services without discrimination on the basis of political, religious, or socio- economical characteristics.
3.3.2 Ensure the right of all members to appropriate and effective services without discrimination on the basis of the South African National Quran Council’s volunteers or staff in respect of gender, sexual orientation, national origin, race, religion, age, political affiliation or disability, in accordance with all applicable legal and regulatory requirements.
3.4 Dress Code
3.4.1 Ensure that the dress code complies with all the Islamic Sharia stipulated dress codes and this applies to both males and females respectively.
4. GOVERNANCE
4.1 The South African National Quran Council has an active governing body and the governing body of the South African National Quran Council:
4.1.1 Ensures that its members or trustees have the requisite skills and skills to carry out their duties and that all members understand and fulfil their duties acting for the benefit of the South African National Quran Council and its public purpose;
4.1.2 Ensures that the South African National conducts all transactions and dealings with integrity and honesty;
4.1.3 Ensures that the South African National Quran Council promotes working relationships with members, staff and volunteers that are based on mutual respect, fairness and openness;
4.1.4 Ensures that the South African National Quran Council is fair and inclusive in its hiring and promotion policies and practices
for all members, staff and volunteer positions;
4.1.5 Ensures that the policies of the South African National Quran Council are in writing, clearly articulated and officially adopted;
4.1.6 Ensures that the resources of the South African National Quran Council is responsibly and prudently managed; and
4.1.7 Ensures that the South African National Quran Council has the capacity to carry out its programs effectively.
5. OTHER
5.1 In addition to the above, the Members shall:
5.1.1 Hold paramount the safety, health and welfare of the public in the performance of professional duties;
5.1.2 Collaborate with and support other professionals in carrying out the South African National Quran Council’s mission;
5.1.3 Conduct themselves with professional competence, fairness, impartiality, efficiency and effectiveness; and
5.1.4 Protect privileged information to which they have access in the course of their official duties.
6. VOLUNTEERS
6.1 Volunteers shall at all times abide by and conform to the following in their capacity as a South African National Quran Council volunteer:
6.1.1 General Expectations
6.1.1.1 Volunteers shall make decisions in the best interests of the South African National Quran Council.
6.1.1.2 Volunteers shall contribute to a collegial, professional, positive and respectful work environment.
6.1.1.3 Volunteers shall know, understand and support the South African National Quran Council’s mission, vision, core values, purpose and goals and become familiar with and follow the South African National Quran Council’s policies and procedures while acting on behalf of the South African National Quran Council.
6.1.1.4 Volunteers shall at all times obey applicable laws and regulations of the government authorities, including all laws and provisions that govern appropriate conduct in the work place while acting on behalf of the South African National Quran Council.
6.1.2 Meetings and Communication
6.1.2.1 While acting on behalf of the South African National Quran Council, professional behavior and discourse shall be required of volunteers. Disruptive and inappropriate behavior towards other volunteers, members or staff is unacceptable.
6.1.2.2 Only information deemed for public knowledge may be shared or discussed outside the South African National Quran Council, unless specifically authorized to do so by the South African National Quran Council. No volunteer shall share, copy, reproduce, transmit, divulge or otherwise disclose any confidential information related to the affairs of the Association, and each volunteer will uphold the strict confidentiality regarding any information discussed at meetings or any other deliberations and communications.
6.1.2.3 Volunteers are not permitted to speak on behalf of the South African National Quran Council or the members to external parties, such as the media or other interested parties unless specifically asked to do so by the South African National Quran Council.
6.1.2.4 All contractual agreements are the responsibility of the South African National Quran Council office. Volunteers will not make such commitments on behalf of the South African National Quran Council, except in accordance with established South African National Quran Council policies.
6.1.2.5 All South African National Quran Council correspondence, regardless of the medium is a reflection of the association. Email communications shall follow the same professional standards as verbal communication. Emails may be considered legal documents and, therefore, caution shall be exercised when recording written opinions and statements pertaining to the role of the volunteer in the South African National Quran Council. The use of the “blind copy” function is strongly discouraged when conducting official South African National Quran Council business.
6.1.2.6 In appropriate communication by email or in any public forum about the South African National Quran Council, its volunteers, members, staff, policies, procedures or guidelines is not acceptable. Issues regarding the South African National Quran Council shall be taken up in private with the appropriate South African National Quran Council staff member.
6.1.3 Relationship with other Volunteers and Members
6.1.3.1 Volunteers shall not request special or personal favors or extensive information from other volunteers or members without prior consultation and agreement of the South African National Quran Council.
6.1.3.2 South African National Quran Council events are professional gatherings and therefore appropriate behavior is expected. Volunteers shall adhere to South African National Quran Council policies, procedures and guidelines in all interactions with other volunteers, members and other relevant parties.
6.1.4 Avoiding Conflict of Interest
6.1.4.1 No volunteer will use information provided by South African National Quran Council or acquired as a consequence of the volunteer’s service to the South African National Quran Council in any manner other than in furtherance of his or her volunteer duties. Furthermore, volunteers will not misuse the South African National Quran Council property or resources and will at all times keep the South African National Quran Council’s property secure and not allow any person not authorized by the South African National Quran Council access to such property.
6.1.4.2 Volunteers shall not persuade or attempt to persuade any member, sponsor, contractor or any other person or entity with an actual or potential relationship with the South African National Quran Council to terminate, curtail or not enter into a relationship with the South African National Quran Council or reduce the benefits to the South African National Quran Council of such relationship.
6.1.4.3 Volunteers are expected to act at all times in the best interest of the South African National Quran Council and not for personal or third-party gain or financial enrichment.6.1.4.4 Volunteers will not accept gifts, gratuities, free trips, personal property or any other item of value from any person or entity.
6.1.5 Confidential Communication
6.1.5.1 Upon termination of service, volunteers will promptly return to the South African National Quran Council all documents, electronic and hard copies, reference materials, and other property not already on file in the South African National Quran Council office. Such return will not abrogate him or her from continuing obligations of confidentiality with respect to information acquired as a consequence of his or her tenure.
7. VIOLATIONS OF THE CODE OF CONDUCT
7.1 The governing body of the South African National Quran Council shall resolve any issues with volunteers and members in a professional manner.
7.2 Member and Volunteers violating this Code of Conduct may be asked to resign and may be requested to discontinue future volunteer and member roles.
7.3 Members and Volunteers who have been removed from a Volunteer or Member position have 30 days to appeal the decision to the Executive Council of the South African National Quran Council which will review the situation and respond within 30 days of the request for appeal. All decisions of the Executive are final.
8. POPI ACT
CONSENT TO PROCESS PERSONAL INFORMATION IN TERMS OF THE PROTECTION OF PETRSONAL INFORMATION ACT, NO. 4 OF 2013 (POPIA)
The purpose of the POPIA is to protect personal information of individuals and businesses and to give effect to their right of privacy as provided for in the Constitution. By signing this form, you consent to your personal information to be processed by the South African National Quran Council and consent is effective immediately and will remain effective until such consent is withdrawn.
8.1 I, m natural person “herein referred to as the Data Subject” hereby give my consent to the South African National Quran Council “herein referred to as the Responsible Party” to collect, process and distribute my personal information where it is legally allowed to use.
8.2 I understand my right to privacy and the right to have my personal information processed in accordance with the conditions for the lawful processing of personal information.
8.3 I understand the purposes for which my personal information is required and for which it will be used and consent to third parties accessing my personal information and to the South African National Quran Council sharing my personal information strictly for the competition purposes.
8.4 I understand that, should I refuse to provide the South African National Quran Council with the required consent and/ or information, the South African National Quran Council will be unable to allow your participation.
8.5 I declare that all my personal information supplied to the South African National Quran Council is accurate, up to date, not misleading and that it is complete in all respects and will be held and/ or stored securely for the purpose for which it was collected and that I will immediately advise the South African National Quran Council of any changes to my Personal Information should any of these details change.
8.6 I also understand that I have the right to request that my personal information be corrected or deleted, if it is inaccurate, irrelevant, excessive, out of date, incomplete, misleading, or obtained unlawfully or that the personal information or record be destroyed or deleted if the responsible party is no longer authorised to retain it.

WHEREFORE, the parties acknowledge that we have read and understood the terms of this Agreement and the purpose for entering into this agreement and does so voluntarily, freely, without duress, coercion and or undue influence and further accepts the duties and obligations set forth herein.
